Call of the 22nd regular Shareholders’ Meeting of Sava d.d.

Pursuant to the 2nd paragraph of Article 295 of the Companies Act-1 (hereafter: ZGD-1) in conjunction with Article 151.a of the Financial Operations, Insolvency Proceedings and Compulsory Dissolution Act (hereafter: ZFPIPPP Act) and Article 130 of the Financial Instruments Market Act (hereafter: ZTFI Act), item 6.3 of the Articles of Association of Sava, družba za upravljanje in financiranje, d.d., and the rules of Ljubljana Stock Exchange d.d., the Management Board hereby convenes the 22nd regular Shareholders’ Meeting of Sava d.d. to be held on Friday, 10 June 2016 at 10:00 a.m., in Tacit Hall of the Grand Hotel Primus, Terme Ptuj, Pot v Toplice 9, 2251 Ptuj.

Business operations of the Sava Group and Sava d.d. in the first quarter of 2016

At its 26th regular meeting held on 19 May 2016, the Supervisory Board of Sava d.d. was briefed about business operations of the Sava Group and Sava d.d. in the period January–March 2016. The Tourism Group generated net revenues of €13.3 million, which is a 5% improvement year-on-year. Overnight stays grew by 4%, while an EBITDA of €1.0 million exceeds the planned value.

At its 2nd regular meeting held on 24 August 2016, the Supervisory Board of Sava d.d. was briefed about the operations of the Sava Group and Sava d.d. in the period January–June 2016. The companies of Tourism division generated sales revenues of €30.6 million in the first half-year 2016, thereby surpassing last half-year’s performance figures by 3%, and generated a profit of €1.8 million. The EBITDA totalled €5.4 million and outperformed last half-year’s result by 4%.

At its 3rd regular meeting held on 5 October 2016, the Supervisory Board of Sava d.d. was briefed about performance results generated by the Sava Group and the company Sava d.d. in the period January–August 2016. With regard to the comparable last year’s period, the Tourism division increased its revenues by 4% (€46.4 million), and generated a net profit of €5.1 million and an EBITDA of €11.4 million.

Decision by the District Court in Ljubljana

On 27 October 2016, the District Court in Ljubljana issued the order, based on which the compulsory settlement in relation to Sava, d.d. (Ref. No. 2868/2015) has been confirmed. The Court’s decision has been made available through the Ajpes website. The decision shall become final within 15 days following its publication.

Compulsory settlement against Sava d.d. is final

The decision by the District Court in Ljubljana on confirmation of compulsory settlement against Sava d.d (Ref.no. St 2868/2015) became final on 12 November 2016.
